ANNOUNCEMENT

The Board of Directors of MultiVision Intelligent Surveillance Limited (the "Company") wishes to announce that its subsidiary, MultiVision Intelligent Surveillance (Hong Kong) Limited, has incorporated a wholly-owned subsidiary in Zhuhai, the People's Republic of China. Particulars of the new subsidiary are as follows:

Name of Subsidiary : MultiVision Digital Technology (Zhuhai) Co., Ltd

Principal Activities : Design, development and distribution of digital surveillance products and solutions.

Registered Capital : HK$20,000,000

The formation of the new subsidiary is not expected to have a material impact on the net earnings or the net tangible assets of the Company for the financial year ending 31 March 2004.

None of the Directors and substantial shareholders of the Company has any interest, direct or indirect, in the aforesaid transaction.
